Terms

Terms & Conditions

General terms for the M M website, digital workspaces and professional corporate-service relationship.

Effective 28 September 2026

These general terms operate alongside the applicable quotation, proposal, engagement letter, service schedule or other agreed engagement-specific terms. Where an engagement document validly sets more specific terms for a service, those specific terms apply to that service to the extent of any inconsistency.

1. About M M

M. M. Management Services (Private) Limited provides Company Secretarial Services and Taxation Services as primary professional services, supported by accounting and bookkeeping, payroll and EPF/ETF administration, audit preparation and coordination, BOI and investment-related support, business registration and licensing, regulatory or government liaison, and management or business consultancy as agreed with a client.

2. Website information and professional engagement

Website content describes M M and its services in general terms and is not, by itself, a professional opinion, filing, statutory submission or guarantee of a particular result. A professional service relationship and its precise scope, deliverables, responsibilities, fees and assumptions are governed by the applicable accepted quotation, proposal, engagement or other agreed instructions.

3. Client responsibilities

Clients are responsible for providing complete, accurate and timely information, documents, approvals and instructions reasonably required for the agreed work, and for promptly informing M M of relevant changes. M M may reasonably rely on client-supplied or authorised information unless verification or independent review forms part of the agreed scope.

4. Deadlines, filings and external authorities

M M will seek to perform agreed work with appropriate professional care, but outcomes and timelines controlled by registries, tax authorities, BOI, banks, auditors, government bodies or other third parties are outside M M's sole control. Preparation, client approval, submission or filing, acceptance by an authority, assessment, payment and final completion are distinct stages. A prepared document is not represented as filed, and a filed item is not represented as accepted or paid, without appropriate evidence.

5. Fees, taxes and third-party charges

Professional fees, applicable taxes, disbursements and government, statutory or third-party charges are determined by the relevant quotation, engagement or instructions. Unless expressly stated otherwise, a professional fee should not be assumed to include an external statutory or third-party charge. Changes in scope, client instructions or external requirements may require revised fees or approval before additional work proceeds.

6. Digital access and Corporate Platform

Authorised users may receive access to M M digital workspaces for service coordination, documents, requests, approvals, billing, communications and related functions. Access is personal to the authorised user or organisation and does not expand that person's underlying authority. Users must protect credentials, use the platform lawfully, and promptly report suspected unauthorised access. Platform displays support the service relationship but do not manufacture filing, payment, approval or other authoritative evidence.

7. Acceptable use

You must not misuse M M systems, attempt unauthorised access, interfere with security or availability, introduce malicious material, impersonate another person, submit information you are not authorised to provide, or use the services for unlawful purposes. M M may restrict or suspend digital access where reasonably necessary to protect clients, systems, evidence, legal obligations or service integrity.

8. Confidentiality and information handling

M M seeks to handle confidential client information appropriately and in accordance with applicable obligations. Information may nevertheless be used or disclosed where reasonably necessary to perform an authorised service, engage relevant professional or operational providers, comply with law or competent authority requirements, protect legitimate rights or security, or where otherwise authorised. Personal data is also handled under the M M Privacy Policy.

9. Intellectual property

Unless otherwise agreed, M M and its licensors retain rights in the website, Corporate Platform, branding, software, templates, methods and general know-how. Clients retain rights they lawfully hold in materials supplied to M M. Deliverables prepared specifically for a client may be used for the agreed purpose subject to the applicable engagement, third-party rights and payment terms.

10. Electronic communications

Where appropriate, M M may communicate electronically and may use digital approvals or records as part of service coordination. Electronic communication carries inherent delivery and security risks. Clients should verify unusual payment, credential or sensitive-information requests through an appropriate trusted channel and must not provide government credentials, PINs or one-time passwords for storage in the Corporate Platform.

11. Service availability

M M seeks to maintain reliable digital services but does not promise uninterrupted or error-free availability. Maintenance, provider outages, security events, internet conditions or other circumstances may temporarily affect access. Appropriate continuity or recovery measures will be used where reasonably applicable, but the authoritative status of professional work should be determined from governed records and evidence rather than assumed from screen availability.

12. Responsibility and limitations

Nothing in these terms excludes or limits liability or rights to the extent they cannot lawfully be excluded or limited. Subject to that principle and any engagement-specific terms, each party remains responsible for matters within its reasonable control. M M is not responsible for a government or third party's independent decision, delay, system availability or change in requirements merely because M M assists with the related process. Any limitation applicable to a particular professional engagement should be read with the agreed scope and applicable law.

13. Suspension and ending an engagement

An engagement may be suspended or ended in accordance with its agreed terms, applicable law or where continued performance is not reasonably possible, including where required information, authority, payment or lawful cooperation is not provided. Ending an engagement does not by itself reverse work already performed, external costs already incurred or rights and obligations that appropriately survive termination.

14. Refunds and cancellations

Refund and cancellation requests are assessed under the applicable engagement terms, work performed, committed resources, external charges and applicable law. The M M Refund Policy provides the general framework and does not override a right that cannot lawfully be restricted.

15. Changes to these Terms

M M may update these general website and platform terms prospectively to reflect changes in services, systems or applicable requirements. Changes are not intended to retrospectively remove accrued rights or alter an already agreed engagement where doing so would be inconsistent with the engagement or applicable law.

16. Applicable law

These general terms are intended to operate under applicable Sri Lankan law. Engagement-specific dispute or jurisdiction provisions, where validly agreed, should be read together with these terms. Nothing here restricts rights or remedies that cannot lawfully be restricted.
